Terms & Conditions
These Terms govern your use of the WATHACI website, our advisory and technology services, and our digital products (POKOTO, Cue Hard-Breaks and WATHACI Connect). By using our services you accept these Terms.

1. About us
WATHACI Corporate Services is a company providing business advisory, corporate services, compliance, financial advisory, capacity building, monitoring and evaluation, digital transformation and software development services, and is registered in the Republic of Zambia.
2. Acceptance
By accessing this website, engaging us as a client or registering for our products, you confirm that you have read, understood and agree to be bound by these Terms and by all applicable Zambian and international laws.
3. Eligibility
You must be at least 18 years of age and have legal capacity to enter into a binding contract. Where you use the services on behalf of an organisation, you warrant that you are authorised to bind that organisation.
4. Services and engagements
The specific scope, deliverables, fees and timelines of any advisory or technology engagement are set out in a separate written proposal, statement of work or engagement letter, which prevails over any conflicting statement on this website. Nothing on this website constitutes a binding offer to provide services.
5. Use of digital products
Access to POKOTO, Cue Hard-Breaks and WATHACI Connect is subject to product-specific terms published on the respective product sites. You agree not to:
- Use the services for any unlawful, fraudulent or harmful purpose.
- Attempt to gain unauthorised access to accounts, systems or data.
- Reverse engineer, decompile or interfere with the services.
- Upload viruses, malware or otherwise disrupt the services.
- Infringe the intellectual property or privacy rights of others.
6. Fees and payment
Fees for services are as set out in the applicable engagement letter or product pricing page. Unless otherwise stated, fees are exclusive of VAT and any other applicable taxes. Late payments may attract interest at the maximum rate permitted by Zambian law.
7. Intellectual property
All content on this website, our methodologies, frameworks, source code, product logos and branding are owned by WATHACI or its licensors and are protected by Zambian and international intellectual property laws. Client-owned materials remain the property of the client. Deliverables and licensing arrangements for specific engagements are governed by the applicable engagement letter.
8. Confidentiality
Each party will keep confidential information received from the other party secure and use it only for the purposes of the engagement, except where disclosure is required by law or a competent regulator.
9. Data protection
Our collection and use of personal information is governed by our Privacy Policy and our Data Safety statement, which comply with the Zambia Data Protection Act No. 3 of 2021 and, where applicable, the EU/UK GDPR.
10. Third-party links
This website may link to third-party sites, including our product sites. We are not responsible for the content or practices of external sites.
11. Warranties and disclaimers
We provide our services with reasonable care and skill. Except as expressly stated in an engagement letter, the website and services are provided ‘as is’ without warranties of any kind, whether express or implied, to the maximum extent permitted by law. Nothing on this website constitutes legal, tax, investment or accounting advice.
12. Limitation of liability
To the maximum extent permitted by law, WATHACI’s total aggregate liability arising out of or relating to your use of the website or any engagement is limited to the fees paid by you to WATHACI in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, goodwill or data. Nothing in these Terms excludes liability that cannot be excluded under Zambian law.
13. Indemnity
You agree to indemnify WATHACI against all claims, losses and expenses arising from your breach of these Terms or unlawful use of the services.
14. Suspension and termination
We may suspend or terminate access to the website or products for breach of these Terms, security reasons, or where required by law. You may stop using the services at any time. Engagement termination is governed by the applicable engagement letter.
15. Anti-bribery, sanctions and AML
Both parties will comply with all applicable anti-bribery, anti-corruption, sanctions, counter-terrorism financing and anti-money-laundering laws, including the Anti-Corruption Act, the Financial Intelligence Centre Act and the Prohibition and Prevention of Money Laundering Act of Zambia.
16. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, epidemics, government action or major infrastructure failures.
17. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Zambia. The courts of Zambia will have exclusive jurisdiction over any dispute, save that WATHACI may bring proceedings in any jurisdiction where you are established to protect its intellectual property rights.
18. Changes to these Terms
We may update these Terms from time to time. The current version, with its effective date, is always available on this page.
